1. Agreement
By accessing or signing in to the Mechagora Trading Platform (“Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
- You must be legally able to enter a binding agreement in your jurisdiction.
- You must provide accurate registration information and keep credentials secure.
- You are responsible for all activity under your account, including API keys and broker credentials you connect (BYOK).
- Organizational accounts may be subject to additional admin policies, MFA, and access controls set by your organization.
3. The Service
The Service may include dashboards, market data views, research tools, alerts, portfolio analytics, authentication, agent controls, and integrations with third-party brokers or data providers. Features may change, be rate-limited, or become unavailable. Availability is not guaranteed.
4. Market data and third parties
Market data, signals, and analytics may be delayed, incomplete, or incorrect. Broker execution, balances, and fills are governed by your agreements with those third parties. Mechagora is not a party to your broker relationship and does not custody your funds.
5. Acceptable use
- No unlawful, fraudulent, or abusive activity.
- No attempts to bypass security, rate limits, or access controls.
- No reverse engineering except where permitted by law.
- No scraping or redistribution of data in violation of third-party terms.
- No use that harms the Service or other users.
6. Risk disclosure
Use risk controls and understand leverage, liquidity, and counterparty risks before trading. Autonomous or semi-autonomous agents do not remove your responsibility for outcomes.
7. Fees and subscriptions
Paid plans, usage meters, or add-ons (if offered) are described at purchase or in your order form. Fees are generally non-refundable except where required by law or stated otherwise. We may change pricing with notice for subsequent billing periods.
8. Intellectual property
The Service, branding (including the Mechagora Agent mark), and software are owned by Mechagora LLC or its licensors. You receive a limited, revocable, non-exclusive right to use the Service for your internal business or personal trading operations as permitted by your plan. You retain rights to your content and broker data you submit; you grant us a license to process that data solely to provide and secure the Service.
9. Confidentiality and security
You must protect account credentials and API keys. Report suspected unauthorized access promptly. We implement administrative and technical safeguards appropriate to the Service, but no system is perfectly secure.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR THE ACCURACY OF MARKET DATA.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MECHAGORA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, TRADING LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES).
12. Indemnity
You will defend and indemnify Mechagora against claims arising from your use of the Service, your trading activity, your content, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
13. Suspension and termination
We may suspend or terminate access for violation of these Terms, legal risk, or security concerns. You may stop using the Service at any time. Provisions that by nature should survive (including risk disclosures, IP, disclaimers, and liability limits) will survive termination.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local consumer law applies. Courts in Delaware have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
15. Changes
We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance, except where notice or consent is required by law.
